Senior Stock Administrator
Q2 is seeking a Global Stock Plan Administrator based in the Austin, Texas office. This position will manage Q2’s equity incentive plan administration, including both an Incentive Stock Plan and Employee Stock Purchase Plan, in a global, fast-paced technology company environment. This role will report to Q2’s Vice President, Deputy General Counsel and work closely with Q2’s Accounting, Legal and People teams, as well as other departmental leadership, driving change and overall process consolidation and improvement.
RESPONSIBILITIES:
Responsible for day-to-day administration of global equity plans and employee stock purchase plan (ESPP), including all aspects of recordkeeping, reporting and reconciliation
Manage and process equity plan transactions, including processing of stock option exercises, stock swaps, restricted stock unit and performance stock unit releases, in compliance with current U.S. and applicable international rules and regulations, SOX controls and governing equity plan documents
Ensure accuracy and integrity of all equity data in equity system of record (Certent)
Assist with creation/audit of quarterly and one-off grant packages and related deliverables to Q2 Board of Directors and Compensation Committee
Interact with transfer agent, dedicated broker (UBS), other third-party providers and internal teams to timely process and settle trades, exercises and other equity plan transactions, and to comply with applicable tax and other filing requirements
Maintain compliance with terms and conditions of equity plans, ESPP, applicable agreements and internal processes and procedures related to equity administration
Generate recurring reports and respond to ad hoc data requests from business partners with accuracy under tight deadlines
Provide excellent customer service in responding to employee inquiries regarding equity and coordinating with internal teams and vendors as appropriate to resolve issues
Prepare, coordinate and deliver employee communications and training related to equity
Act as primary point of contact between company and all third party vendors related to equity programs (transfer agent, dedicated broker, valuation firms, etc)
Assist with equity compensation program design and analysis
Maintain equity plan documentation for internal and SOX compliance
Assist with development of new forms of grant agreements, as needed
Assist with Section 16 filings and proxy compensation tables related to equity ownership
Assist with adoption of, and compliance with, 10b5-1 trading plans
Manage compliance with executive and director stock ownership guidelines
Partner with internal teams, including Legal, Accounting, Tax, Payroll, People and Internal Audit, on all equity-related matters
Identify and implement continual process improvements
Perform other duties related to the global equity plans and programs
EXPERIENCE AND KNOWLEDGE:
Bachelor of Arts or Bachelor of Science Degree, in finance or accounting preferred
Minimum 7 to 10 years’ experience with public company stock administration
Experience with Certent equity administration preferred
Experience with UBS brokerage platform preferred
CEP Level I required, Levels 2 or 3 preferred
Must have knowledge of U.S. and foreign tax issues relating to equity compensation and experience working with appropriate tax staff to address as necessary
Previous experience with SOX compliance and adherence to all organizational policies and procedures needed
Experience with public company reporting requirements, including Section 16 filings, proxy compensation tables and stock-based compensation sections of 10-Qs and 10-Ks
Must have previous experience administering ESPPs
Experience with compliance administration of 10b5-1 trading plans and stock ownership guidelines needed
Exceptional attention to detail and ability to deliver accurate results under tight deadlines
Strong ability to reconcile and audit reports
High proficiency in Excel
Strong written and verbal communication skills
Strong organizational and project management skills
