The Chief Legal Counsel will be responsible for managing all legal issues and risks for the company, as well as providing compliance and regulatory oversight.
Responsibilities:
- Identify and address all legal and regulatory compliance issues affecting the company, including labor and employment, contract standards and policies, intellectual property protection, litigation, and dispute resolution.
- Provide legal advice to internal stakeholders and assist in making high-level decisions affecting the business.
- Act as the legal representative of the company and prepare messaging and presentations to the Board on legal matters affecting the company.
- Maintain knowledge of the company’s operations and legal documents.
- Draft, review, and negotiate contracts and third-party agreements with vendors, partners, and customers and provide related risk-mitigation strategies during adoption and execution.
- Collaborate cross-departmentally and cross-functionally with other departments to ensure agreements and messaging are legally compliant and consistent with internal processes and policies.
- Preserve documents, corporate records, and litigation documents in response to subpoenas or ongoing litigations
- Maintain up-to-date knowledge on legal developments in financial- and technology- related fields.
- Oversee the selection and management of outside counsel when engaged.
- Craft legal strategy in response to litigation and supervise all litigation activities.
- Support People Resources as needed with internal investigations, labor law, and compliance matters.
- Assist in the establishment of and manage on-going compliance for international subsidiaries.
Requirements:
- 10+ years experience as a licensed, practicing attorney
- 5+ years of experience with complex commercial and/or corporate transactions
- Proficient legal experience in a wide range of contracts, human resources and M&A
- Proven general counseling experience in business environment
- Overall broad legal knowledge (corporate law, litigations, labor law, etc)
- In-depth understanding of how legal issues affect organizations
- Ability to develop legal strategy and objectives
- Well-versed in how businesses operate with financial acumen
- High degree of professional ethics, integrity and gravitas
- Excellent judgement and analytical skills
- First class interpersonal and communication skills
- Ability to anticipate legal issues or risks
- BSc degree in Law or J.D. degree
- MA or BSc in Business Administration will be considered an asset
- Member in good standing of their respective state bar
- Located in or ability to travel as needed to Austin, Texas
