About the Role
The Counsel, Corporate - International will join CrowdStrike’s rapidly growing corporate legal team responsible for managing all corporate legal matters. As the Counsel, Corporate, you will assist in providing legal support for CrowdStrike’s international corporate governance and global expansion. You’ll ensure appropriate governance processes for our international subsidiaries, support tax and treasury initiatives, and meet CrowdStrike’s international growth objectives through new entity formation. You’ll also support acquisitions and integration activities, assist in drafting and reviewing SEC filings, support the stock administration department and employees on all equity matters, and assist with a wide variety of other corporate matters.
The role is remote-based and will report to the VP of Legal, Corporate.
This position is open to candidates remotely in the USA, with a preference to candidates in California and Austin, Texas.
What You’ll Do
Collaborate with a wide variety of teams, including tax, accounting, employment, and sales operations, on a range of issues to enable CrowdStrike’s domestic and international expansion, including entity formation, global equity, and local compliance.
Oversee the corporate governance and maintenance of all foreign and domestic subsidiaries, working together with a talented team of experienced corporate paralegals to ensure compliance with local governance requirements.
Operationalize process improvements related to rapid international expansion by working collaboratively with multiple departments, and provide legal advice, opinions and solutions regarding issues and risks relating to same.
Support tax and treasury teams on intercompany agreements, and execution of entity-related tax and capital planning projects.
Support implementation of an entity management system and onboarding of a global subsidiary governance services provider to scale for CrowdStrike’s continued growth.
Assist with M&A related activities; conduct due diligence; contribute to legally relevant integration activities.
Review investment documents and provide counsel on matters related to the CrowdStrike Falcon Fund.
Assist in drafting and reviewing SEC filings, including 10-Ks, 10-Qs, S-8’s, 8-K’s, and proxy statement.
Advise and assist on a broad range of other corporate matters as needed, including general corporate, governance, securities, equity, M&A, and the CrowdStrike Foundation.
Manage outside counsel and global subsidiary governance services provider on variety of corporate matters, as needed.
What You’ll Need
JD and bar admitted with 3-5 years’ relevant international corporate governance and securities work experience at major law firm and/or in-house at a public company.
Exceptional and demonstrated organizational and project management skills, ideally related to international expansion.
Knowledge of private and public company, securities, equity and compensation related laws, regulations and rules.
Strong written and verbal communications skills.
Team player who welcomes responsibility and thrives in an intense, fast-paced environment.
Resourceful self-starter who enjoys wearing multiple hats and digging into challenging projects, big and small.
Positive attitude, and strong work ethic.
Ability and willingness to travel and work varying hours to accommodate a global workforce, as needed.
