The Senior Vice President of Legal leads the Khoros legal department and is responsible for the legal affairs of the entire corporation, including compliance, contract review, and engagement and oversight of outside counsel, as appropriate. Reporting to the Chief Financial Officer, the SVP - Legal, provides counsel to the Chief Executive Officer and other senior management, as needed.
The role requires a high degree of organization, project management skills, self-motivation, and problem-solving aptitude. Cross-functional collaboration and cooperation is necessary for success, including the ability to work well and earn the respect of internal stakeholders while maintaining the integrity and high standard of the Khoros Legal department. The individual in this role must be able to perform and thrive in a fast paced, highly collaborate environment, and will be accountable for significant legal decisions and counsel.
Some responsibilities include:

  • Developing and leading corporate legal strategy to promote and protect company matters
  • Developing and leading internal audit and corporate compliance programs
  • Providing counsel to the CEO and senior corporate officers on legal issues
  • Participating in the formulation of general management policy as a member of the executive management team
  • Managing a team of corporate counsel and other members of the legal department
  • Provide legal support for customer contract negotiations, including contract drafting, review, and analysis
  • Manage customers' transition from third party contracts to Khoros contracts
  • Provide Legal advice to Khoros product management, sales, and other internal groups on topics such as contract interpretation, customer disputes, and regulatory compliance
  • Assist as needed in merger and acquisition due diligence and transitions
  • Design, implement, and improve upon legal department processes and policies
  • Engages and manages outside counsel, as necessary, for specialized legal issues or disputes
  • Other duties and special projects as assigned

REQUIRED

  • Juris Doctorate degree (JD) and licensed to practice in at least one state.
  • A minimum of 5 years of professional experience in contract drafting and negotiations in the Legal department of a cloud/ SaaS company
  • Extensive knowledge and experience evaluating and interpreting legal requirements in the U.S. and abroad, including data privacy and security standards
  • Ability to think critically and quickly in the absence of full information and anticipate, proactively identify, and resolve issues before they become problems

 

PREFERRED

  • Knowledge and experience in EU data privacy regulations, GDPR, HIPAA and GLBA
  • Experience with M/A due diligence and integration efforts preferred 
  • Experience with European commercial contracting
