As a senior member of the commercial legal team, you will be called upon to handle sophisticated agreements focused on post-sales services such as professional services and support services. This is a mid-senior to senior level legal position that is perfect for a highly qualified lawyer looking for an opportunity in a rapidly scaling company who is open to growth. A typical day in this role involves working closely with our professional services, partnership, finance, sales operations, and special projects teams to review, draft and negotiate contracts with our customers and partners. You may also find yourself working on a number of other legal issues as needed to support business initiatives. The ideal candidate is a strong negotiator who is equally versed in day-to-day legal matters and strategic business thinking. This position will report into our Associate General Counsel, Commercial (Procurement).

A strong candidate will feel confident doing the following:
- Draft and negotiate complex agreements especially those agreements and terms supporting professional services delivery, technical support, subcontracting, and implementation partners.
- Advise cross functional stakeholders on best practices for structuring professional services projects to appropriately control for operational, financial, and legal risk.
- Create scalable agreements, policies, and procedures related to a broad array of professional services and support offerings.
- Partner with cross functional stakeholders and seek out cross functional expertise on novel issues.
- Provide direct support for customer, partner, and vendor agreements.
- Create, update, and manage new templates, playbooks, and policies as necessary.
- Partner with revenue recognition, security, sales operations, technology operations, compliance and other stakeholder teams to ensure agreements are consistent with internal Cloudflare policies and processes and applicable laws and regulations.
Requirements:
- JD degree with strong academic credentials.
- In depth experience with contracts for professional services and related terms, including data processing addendums, customer flow down requirements.
- Experience building relationships with cross functional stakeholders and developing strategic program policies and controls that can be effectively operationalized and maintained.
- Admitted to practice law and in good standing or otherwise authorized to practice law in the state in which the position is located.
- 810+ years relevant experience.
- Experience with drafting, reviewing, and negotiating commercial agreements common to technology companies.
- Good strategic, business sense, and demonstrated negotiation skills with respect to legal issues.
- Detail oriented and technically-adept, preferably with experience at a SaaS or Cloud company.
- Excellent organizational skills, with the ability to manage multiple matters.
- The ability to work in a team, with lawyers and non-lawyers, to establish scalable solutions efficiently and in an amenable manner.
- Ability to operate autonomously, while being a team player who can find opportunities for collaboration and shared efficiencies
