We are hiring a Senior Counsel for transactions to oversee legal strategy, equity structuring for new ventures, and risk mitigation for the Rex ecosystem. The Corporate Counsel should be shrewd at lawyering to help protect the long term interests of the company as well as block immediate risks & long-tail risks. The ideal candidate has past experience in public securities or fund structuring and knows the ins and outs of regulatory guidelines. The Senior Counsel has the ability to get his or her head around any legal issues (trademarks, litigation, equity structuring, etc.) and can leverage external counsel effectively when needed.

What you'll do: 

• Leading and managing equity structuring, and assisting in capital raising for new ventures 
• Identifying and addressing legal and regulatory compliance issues affecting the company, including labor and employment, contract standards and policies, intellectual property protection, litigation, and dispute resolution 
• Providing legal advice--applying business judgement-- to internal stakeholders and assisting in making high-level decisions affecting the business
• Maintaining knowledge of the company’s operations and legal documents
• Drafting, reviewing, and negotiating contracts and third-party agreements with vendors, partners, and customers and provide related risk-mitigation strategies during adoption and execution
• Collaborating cross-departmentally and cross-functionally to ensure agreements and messaging are legally compliant and consistent with internal processes and policies
• Maintaining up-to-date knowledge on legal developments in financial- and technology- related fields 
• Overseeing the selection and management of outside counsel when engaged
• Supporting Human Resources as needed with internal investigations, labor law, and compliance matters
• Partnering with an external immigration firm for all employees requiring visa sponsorship
• Managing 1-2 internal resources and leveraging outside counsel to maximize total output while reducing costs  

Who you are:

• 10+ years experience as a licensed, practicing attorney
• 4+ years of experience with complex commercial and/or corporate transactions
• 1+ years of people management experience
• Proficient legal experience in a wide range of contracts, human resources and M&A
• Proven general counseling experience in business environment
• Overall broad legal knowledge (corporate law, litigations, labor law, etc)
• In-depth understanding of how legal issues affect organizations
• Ability to develop legal strategy and objectives
• Well-versed in how businesses operate with financial acumen
• High degree of professional ethics, integrity and gravitas
• Excellent judgement and analytical skills
• First class interpersonal and communication skills
• Ability to anticipate legal issues or risks
• J.D. degree
• MA or BSc in Business Administration will be considered an asset
• Member in good standing of their respective state bar
