NetBox Labs is seeking a highly motivated and experienced Associate General Counsel to join our growing legal team. You will be the foundational in-house attorney, establishing the legal function from the ground up while driving commercial excellence across the organization.

In this role, you'll own commercial contracting end-to-end while building scalable legal infrastructure across all areas of the business - from corporate governance and IP to employment law and compliance. You'll build and lead the legal team as the company scales.

You'll partner closely with our Chief Operating Officer and cross-functional leaders to balance velocity with risk management, implementing pragmatic legal processes that enable growth. This is an exceptional opportunity for a builder to shape legal strategy at a high-growth, Series B company.

Key Responsibilities

Commercial Contracts:

  • Lead the drafting, negotiation, and execution of customer agreements (SaaS, on-premise licensing, DPAs, security exhibits, and MSAs), vendor agreements, NDAs, and partner/reseller contracts.

  • Develop scalable playbooks, fallback positions, and templates for standard agreements.

  • Collaborate with GTM teams to accelerate sales cycles while balancing risk and compliance.

Corporate & Strategic:

  • Provide support on general corporate matters, including board governance, legal entity management, and international expansion.

  • Partner with COO and outside counsel on equity, financings, and fundraising events (e.g., convertible notes, preferred rounds, secondary transactions).

  • Advise on M&A activity, due diligence, and integration planning.

IP & Employment:

  • Partner with COO and HR to review employment policies, offer letters, and global hiring practices.

  • Manage IP portfolio, including trademarks, copyright, and open source licensing.

  • Provide guidance on internal policies, handbooks, and compliance with applicable laws (e.g., export control, data privacy).

Legal Operations & Strategy:

  • Build foundational processes for contract lifecycle management.

  • Monitor regulatory changes and risk exposure; ensure NetBox Labs remains in compliance.

  • Serve as a cross-functional legal advisor to executives and team leads across the business.

Team Building & Leadership:

  • Establish the legal function's strategic roadmap and operational foundation

  • Define hiring needs and build the legal team over time as the company scale.

  • Develop training programs and legal education initiatives for cross-functional teams

  • Select and manage relationships with outside counsel and legal service providers

About You
  • JD from an accredited U.S. law school and active membership in at least one U.S. state bar.

  • 10+ years of relevant experience, including at a top-tier law firm and/or fast-growing technology company.

  • Significant experience with commercial technology transactions (especially B2B SaaS and software licensing).

  • Entrepreneurial mindset with ability to work autonomously and make sound judgment calls without extensive legal infrastructure

  • Proven ability to build legal functions from scratch or scale small teams

  • Strong familiarity with corporate law, employment law, IP, data protection, and open-source licensing.

  • Excellent drafting and negotiation skills, with sound judgment and business acumen.

  • Comfortable working independently in a fast-paced, remote-first environment.
