This position will be on-site at our Austin, TX location.

As the leader of a small legal department, you will wear many hats and work on a variety of legal matters, including employment law, complex commercial contracts, technology agreements, privacy matters, litigation, intellectual property, contract negotiations, compliance, acquisitions, SEC and many more. The candidate must have excellent business judgment and strategic skills, and work well with executive, sales, and operations teams.

Asure Software is looking for an energetic attorney with software licensing expertise to counsel the company’s executive, sales, product and marketing teams on a range of matters including technology transactions, acquisitions, partnership and alliance agreements, with a strong emphasis on commercial licensing. You will also draft and negotiate agreements for cloud-based offerings as well as provide support for other intellectual property prosecution matters and other corporate initiatives.

This is a highly impactful role; you will report directly to the CFO and will be responsible for providing legal counsel to a variety of stakeholders in our rapidly growing organization. This role serves as a key advisor and will participate in decision-making and strategy development for the business with the goal of protecting the assets and reputation of the Company.

Major Duties and Responsibilities:

  • Draft and negotiate a variety of agreements and documents including inbound/outbound license, product development, consulting, service provider, distribution, sponsorship, and other commercial agreements and arrangements.
  • Draft, review, and update documentation for cloud, hosted, and on premises product and services, including terms of service, with a focus on intellectual property, compliance, risk management, privacy, content regulation and other legal issues.
  • Provide training and education to internal teams to assure conformity and consistency in application of legal policies and procedures as they relate to licensing and service contracts, and other significant corporate transactions.
  • Provide support for matters relating to intellectual property prosecution, including management of trademarks and patents.
  • Support other general corporate matters, including privacy and special projects.
  • Provide sound and practical legal advice as a key member of the Asure team.

Qualifications and Requirements: 

  • Juris Doctor degree from an American Bar Association accredited law school.
  • Texas Bar admission in good standing is required.
  •  Experience working with high growth software companies highly preferred.
  •  Self-starter with a strong sense of urgency in providing the appropriate counsel to internal stakeholders.
  •  Sound judgment with the ability to resolve complicated matters while maintaining integrity and confidentiality.
  •  Excellent communicator with impeccable written, verbal, and presentation skills.
  •  Willing to travel as needed.
  • Detail oriented without losing sight of broader strategic goals.
  • An open-minded and team-oriented attitude; flexibility as to the types of projects assigned; willingness to work in an unstructured environment; and the ability to manage several simultaneous projects under deadline pressure are required.
  • Ability to interact comfortably with executives and senior management; strong verbal and analytical skills; exceptional interpersonal skills; a commitment to professionalism; and a solid business acumen.
  • Experience at a major law firm is required, and prior in-house experience is preferred.
  • Minimum of 10 years of relevant experience, including directly relevant software licensing experience.
