As a Corporate Counsel at vCluster, your role will put you at the center of every deal that matters. We are looking for a commercially sharp, pragmatic lawyer who knows how to hold the line on a redline without blowing up a deal, and who is excited to grow into the company's key legal voice as we scale. This is not a paper pushing role. You will own real negotiations, work directly with leadership, and use tools to move fast across dimensions that most in house counsel would slow down on.

As a Corporate Counsel, your role will include:
  • Contract Negotiation: Reviewing and negotiating customer and vendor agreements including MSAs, DPAs, NDAs, information security annexes, and supplier codes of conduct, holding vCluster's position professionally without alienating the counterparty.

  • Deal Volume: Managing a high and steady volume of enterprise contracts across major customers and vendors without becoming the bottleneck to closing.

  • Cross Discipline Judgment: Using tools to research law outside your core focus area so you can give the business a fast, well-reasoned answer. Being able to separate where you can find answers and where you need to work with specialized outside counsel.

  • Stakeholder Partnership: Working closely with the sales team to protect the company's position without stalling momentum.

  • Process and Templates: Building and maintaining contract templates, redline playbooks, and internal guidance so lower risk paperwork can move quickly without a full legal review every time.

What you bring:
  • Commercial Contracting Experience: You have experience as a contract lawyer or commercial counsel, comfortable with SaaS, enterprise, and vendor agreements, and you understand the mechanics of a real negotiation.

  • Enterprise Agreement Expertise: You have negotiated large, complex enterprise sales agreements.

  • Pragmatic, Professional Pushback: You know how to hold firm on a position and push back hard when it matters, but you do it in a way that keeps the relationship intact and gets the deal done.

  • AI Native: You are comfortable using tools to accelerate research and drafting, especially in areas outside your primary expertise.

  • Bias to Action: You do not escalate everything to outside counsel or hide behind uncertainty. You give the business a clear, good enough answer quickly and flag real risk when you see it.

  • International Exposure: You have some experience with international or EU commercial contract law.

Bonus points:
  • Startup Background: You have worked in house at an early or growth stage startup.

  • Infrastructure and Cloud Agreements: You have handled agreements specific to enterprise cloud, hosting, or bare metal infrastructure vendors and customers.
