Job Summary:

The Corporate Counsel will report to the General Counsel and work closely with finance, corporate development, and human resources. This role will be responsible for providing legal counsel on a broad range of corporate matters, with a focus on mergers and acquisitions, corporate governance, and strategic transactions. The ideal candidate will have a strong background in corporate transactional law, preferably gained in-house at a public company or through a combination of law firm and corporate experience.

Responsibilities: 

  • Provide legal support for M&A transactions, including due diligence, drafting and negotiating term sheets, purchase agreements, and ancillary transaction documents.
  • Advise on corporate governance matters, entity formation, capitalization, and internal reorganizations.
  • Assist with corporate transactions, financings, and other strategic initiatives as needed.
  • Collaborate with finance and tax teams on structuring and executing corporate transactions.
  • Manage outside counsel on transactional and specialized corporate matters.
  • Ensure compliance with applicable corporate, securities, and regulatory requirements.
  • Lead and coordinate post-acquisition integration activities, including aligning legal entities, contracts, and compliance obligations across the combined business.

Requirements:

  • J.D. from an accredited law school; licensed to practice law in the jurisdiction of residence/practice.
  • 4–6 years of experience practicing corporate law, mergers & acquisitions, or transactional practice at a law firm and/or in-house legal department, with public-company experience preferred.
  • Experience in the aerospace, defense, or technology industries is strongly preferred.
  • Excellent drafting, negotiation, and analytical skills with the ability to handle complex transactions.
  • Familiarity with securities, antitrust, and regulatory considerations in M&A transactions.
  • Exceptional communication and interpersonal skills, with a practical and business-oriented approach to problem-solving.
  • Proven ability to manage multiple projects and work effectively in a fast-paced, cross-functional environment.
