The Opportunity: Corporate Counsel

This is a generalist seat with real ownership. You'll work across commercial, corporate, capital markets, M&A, and employment matters — not as support, but as a trusted partner to the business. You'll sit alongside a senior attorney and work directly with cross-functional leaders, which means your judgment will be in the room for decisions that shape how Tilt operates and grows. We're on the path to an IPO, expanding internationally, and building out an ABS platform — the work is complex, and the opportunity to grow with it is real. We don't expect depth across every area. We need meaningful experience in several, and the intellectual drive to move quickly in the ones you haven't mastered yet.

How You'll Make an Impact
  • Own the commercial contract function — negotiate vendor agreements, tech and data integrations, marketing partnerships, and bank relationships. Build and maintain templates and playbooks, and use AI tooling to make the whole operation leaner.

  • Drive corporate governance — manage board and committee materials, consents, minutes, and corporate records across the company and its subsidiaries. Support cap table matters, equity administration, and the governance work required to get IPO-ready.

  • Lead on capital markets transactions — support equity and debt financings from term sheet through closing, including structured warehouse facilities. Help build out Tilt's ABS platform and manage ongoing covenant compliance and lender diligence.

  • Support M&A from the inside — participate in domestic and cross-border transactions with hands-on drafting and negotiation on smaller deals, diligence support on larger ones, and post-closing integration work.

  • Partner with People on employment matters — advise on labor and employment questions with a focus on reducing exposure, and support equity compensation management including option grants and potential RSU transition.

  • Help build the international legal playbook — as Tilt expands across markets, you'll develop the cross-border frameworks that let us move with confidence.

Why You're a Great Fit
  • J.D. and active bar admission in at least one U.S. state

  • 4–6 years of experience, with meaningful depth in at least two or three of the areas above — commercial contracts, corporate governance, capital markets, M&A, or employment

  • Demonstrated ability to own workstreams independently and make sound judgment calls without waiting for direction

  • A track record of working across functions — you communicate legal complexity clearly to people who aren't lawyers, and you make the teams around you sharper

  • Sharp written and verbal communication; you know how to be precise without being inaccessible

  • Genuine interest in fintech or consumer finance — you don't need to be an expert, but you need to want to become one

  • Comfort with AI-assisted legal workflows (familiarity with tools like Claude, N8N, or contract automation platforms is a plus)
