The Role:

You will work directly with senior corporate partners; Chambers USA-ranked practitioners who were trained at Cravath, Schulte Roth, and the top M&A desks in the country. Expect real responsibility from day one.

  • Representing buyers, sellers, and founders in M&A transactions valued from $50M to $1B+
  • Joint venture structuring and negotiation across a range of industries
  • Investment management and fund work; including spinouts, rollups, and manager combinations
  • Finance, fintech, and crypto transactions at the intersection of capital markets and emerging tech
  • Cybersecurity and data privacy deal-related issues
  • Tax-integrated deal structuring with our dedicated tax team embedded in every transaction

The work is commercially driven and practically focused. You will not spend years doing diligence. You will be in the room.

WHAT WE'RE LOOKING FOR:

We hire on three pillars, weighted equally. All three matter. Not two.

  1. PEDIGREE

You trained at an AmLaw 30 firm, ideally in a top-tier M&A or corporate practice. Your law school prepared you for the most complex work in the market. 4–8 years of post-law school experience in corporate transactions, with meaningful exposure to joint ventures and a variety of deal structures.

  2. DEAL CAPABILITY

You've led diligence workstreams, drafted and negotiated acquisition agreements, and managed deal timelines without constant supervision. You are commercially minded; you understand the economics of a deal, not just the documentation. You're the associate partners want on their most complex transactions.

  3. AI ORIENTATION

Technology orientation is not a bonus at Sterlington. It is a first-tier criterion equal to pedigree and firm experience. We weight all three the same.  If AI has made you faster, smarter, and more valuable than your peers, we want to hear exactly how

WHY STERLINGTON

  • Top-of-market compensation, structured around your experience and what you bring to the table
  • No office mandate. We hire A-players and trust them to work.
  • Real exposure to senior partners and clients from year one,  not five.
  • A practice organized around client outcomes, not practice group politics.
  • A clear path to counsel; and we promote from within.
  • A firm that is already AI-native, not one that's planning to be.

COMPENSATION

Compensation at Sterlington is competitive and structured around the quality of the person and the context they bring. We take both seriously. Full-time employees are eligible for Medical, Dental, Vision, and 401(k).
