Overview

We are seeking a Counsel, Commercial Contracts to support our growing payments platform and help scale the company’s contracting processes. This role will focus on reviewing and negotiating commercial agreements, supporting vendor and procurement contracts, and helping build standardized contracting frameworks and playbooks.

This position will also support legal operations initiatives, including evaluation and implementation of contract lifecycle management (CLM) tools and improvements to Salesforce-driven contracting workflows.

This is an excellent opportunity for a lawyer who enjoys both hands-on commercial contract work and building scalable legal infrastructure.

Key Responsibilities
  • Review, draft, and negotiate a variety of commercial agreements, including customer MSAs, SaaS and technology agreements, vendor and procurement agreements, referral and partnership agreements, API and technology agreements, marketing agreements, employment-related agreements, non-disclosure agreements, data processing agreements, business associate agreements, and statements of work

  • Conduct contract reviews, prepare redlines, identify legal and commercial risks, and escalate complex issues as appropriate

  • Prepare issue summaries and recommended positions for higher-risk agreements or non-standard terms

  • Support the development and maintenance of standardized contract templates, fallback language, and internal contract playbooks to improve efficiency and consistency in the company’s contracting processes

  • Assist in the standardization and automation of contracting workflows, including supporting the evaluation and implementation of contract lifecycle management (CLM) tools and improvements to contracting processes integrated within Salesforce

  • Partner with cross-functional teams including sales, procurement, product, finance, operations and People Operations to support commercial initiatives and ensure agreements align with company policies and risk tolerance

  • Help improve contract turnaround times by identifying opportunities to streamline processes, standardize agreements, and scale legal support across the organization

  • Maintain the company’s contract repository and legal documentation, including organizing templates, clause libraries, and executed agreements

  • Assist in developing guidance materials or training for internal teams on standard contract terms and contracting processes

  • Support legal and compliance initiatives by helping ensure contracts align with applicable regulatory and internal policy requirements

What You Bring
  • JD from an accredited law school and active bar membership

  • 2-3 years of experience in commercial contracting (law firm or in-house)

  • Experience reviewing and negotiating technology, SaaS, or commercial agreements

  • Familiarity with vendor or procurement agreements preferred

  • Interest in legal operations, contract automation, or CLM tools

  • Experience working with Salesforce or CRM-Driven contracting workflows is a plus

  • Strong drafting, issue-spotting, and problem-solving skills

  • AML and financial crime compliance frameworks

  • Privacy and data protection laws

  • Emerging legal issues related to AI

We operate on a hybrid schedule for in-office employees. Standard schedules are three days per week in the office, however, the cadence and days are determined by each team and manager.
