The Legal Assistant will be a detail-oriented and proactive support to our Legal team, with a particular focus on contract management, legal operations, mergers & acquisitions (M&A) support and administrative support. This role works closely with the Associate General Counsel to help manage the contract lifecycle, assist with legal operations, administrative items, and maintain the organization and integrity of legal records. The ideal candidate is highly organized, enthusiastic, discreet with confidential information, and comfortable working in a fast-paced legal environment.
Responsibilities
- Assist in overseeing the contract lifecycle management (CLM) system, including intake, routing, execution, and archiving or agreements
- Maintain accurate records, report contract metrics and track contractual terms.
- Provide initial review and coordinate the redlining and review process of contracts between internal stakeholder and counterparties.
- Assist with contract drafting and processing, including formatting, clean-up, filing and execution of agreements.
- Maintain an organized repository of executed contracts, templates, and playbooks.
- Assist the Associate General Counsel and deal team with due diligence coordination, including organizing and reviewing virtual data rooms.
- Prepare and maintain due diligence checklists, closing checklists, and signature pages.
- Track and compile disclosure schedules, ancillary documents, and closing deliverables.
- Assist with post-closing integration tasks, including entity records updates and contract assignments.
- Maintain organized deal files and ensure accurate recordkeeping throughout the transaction lifecycle.
- Assist in overseeing the administration of the company’s legal billing platform and interact with all levels of the organization and departments to ensure the payment of, and efficient forecasting of legal invoices.
- Assist in the accrual of legal expenses and lead the interaction related thereto between the Legal and Finance departments.
- Assist the team in various stages of litigation record keeping.
- Work with other members of the legal team to drive progress on cross-functional projects, as assigned, while looking for opportunities to improve processes to help the company scale and be more efficient.
- Respond to requests for information as needed, including assisting company personnel with information or data from the legal department and assisting outside counsel and others as required.
- Administrative duties including but not limited to overseeing books and records and contract repository.

Qualifications & Experience
- Bachelor’s degree required.
- At least 3 years of experience as a legal assistant in a law firm or corporate legal department preferred.
- At least 1 year of experience in contract lifecycle management (CLM).
- Prior legal operations and billing experience preferred.
- Prior legal project management experience preferred.
- Experience utilizing AI to streamline various responsibilities.
- Organization and legal project management skills.
- Excellent business judgment, critical thinking, and communication skills.
- Action oriented with demonstrated project management skills.
- Flexibility and willingness to work on a broad variety of matters.
- Excellent time management and organizational skills, capable of handling multiple requests in a fast-paced environment and managing priorities efficiently.
- Strong computer and word processing skills, including proficiency with Google Docs, Google Sheets, Microsoft Word, Microsoft Excel, e-billing platforms, and contract management tools.
- Strong interpersonal communication skills with the ability to effectively work with staff at all levels of the organization.
