Position Summary

As Coalfire's Paralegal, Partnerships, Procurement, and Corporate Governance you will join the Legal & Compliance department and will be responsible for supporting the company's contract management, administration and negotiation process for partnership and procurement transactions, as well as providing corporate governance support. As a Paralegal you will assist in the defining and executing policy, templates, risk posture, negotiation guidelines, and processes related to contract administration, review and negotiation. In the paralegal role you will provide legal support to the teams dedicated to partnership and procurement contracts and will support the company's corporate governance functions, including entity management, board and committee processes, and corporate recordkeeping.

What You'll Do

    • Primarily tasked with reviewing, drafting and assisting in the negotiation of contracts for Coalfire’s partnership and procurement transactions in accordance with company guidelines
    • Assist on Channel and Reseller Agreements, and vendor and procurement agreements, with other overflow responisbilites
    • Review, draft and negotiate procurement and partnership related agreements including vendor and supplier agreements, purchase orders, software and SaaS subscription agreements, cloud services agreements, independent contractor and consulting agreements, referral and lead generation agreements, alliance and strategic partnership agreements, joint marketing and co-selling agreements, distribution agreements, and technology partner and integration agreements
    • Partner with the procurement and partnership teams to ensure smooth and efficient contracting processes
    • Provide legal support to the teams dedicated to partnership and procurement contracts
    • Recommend negotiation strategies and techniques to internal business partners during the contract negotiation, administration and management processes
    • Support the development, enhancement and execution of internal policies, guidelines, and exceptions in the contracting process
    • Review contracts and related documents to assess risk to the company and recommend mitigation approaches
    • Leverage AI-powered tools such as GC AI and Glean to accelerate contract review, drafting, and legal research while exercising appropriate professional judgment
    • Help develop and improve the contracting process for subcontractors, including standardizing templates, workflows, and risk controls
    • Support legal and compliance tasks/projects from time to time including updating various contract templates and other legal internal or external forms
    • Monitor the legal inbox and triage incoming requests, routing matters to the appropriate team members and responding to routine inquiries
    • Prioritize and execute multiple projects and tasks, meeting deadlines and effectively communicating with stakeholders
    • Keep aware of current trends and best practices for addressing emerging contracting, legal and business risks
    • Collaborate with legal team in developing concepts, techniques, standards and solutions to complex problems
    • Exercise initiative, and work in an independent manner
    • Support training to team and business colleagues on related process
    • Support risk management and litigation initiatives as required
    • Support corporate governance functions, including maintaining corporate records, entity formation and dissolution filings, and managing the company's entity management system
    • Assist with the preparation of board and committee materials, resolutions, consents, and meeting minutes
    • Coordinate annual filings, registered agent services, and state qualifications and withdrawals across jurisdictions
    • Maintain and organize the company's corporate minute books and governance records
    • 10% Travel required

What You'll Bring

  • 3+ years of experience as a paralegal or contracts professional supporting partnership, procurement, or corporate governance functions
  • Bachelor’s degree or paralegal certificate, or the equivalent combination of relevant education, training, or work experience
  • A higher-level degree, i.e., Masters or Juris Doctor, may substitute for two years of experience
  • A high level of interest in commercial transactions, corporate governance and the cybersecurity industry
  • Experience with Salesforce, Box, Microsoft Office suite, Microsoft Teams, Ironclad, and contract lifecycle management tools, as well as AI-powered tools such as GC AI and Glean
  • Excellent written, verbal and interpersonal communication skills with a proven track record of forging relationships among stakeholders
  • Proven organizational and analytical skills and professional business judgment
  • The ability to maintain confidentiality and exercise discretion
  • Strong drafting skills, with the ability to achieve consistent language across agreements that are similar in nature
  • Excellent problem-solving and analytical skills to support and achieve business goals and a desire efficiencies to improve program performance
  • A willing spirit and humor in undertaking tasks required to accomplish the work of the Legal Department
  • A proactive, attentive attitude toward both daily tasks and long term initiatives
  • A conscientious work style including a diligent approach to completing the tasks at hand and a sense of accountability and pride in assignments
