Position Overview

FGS Global is seeking a diligent and detail-oriented Senior Corporate Paralegal to join the firm’s Global Legal & Compliance team. The ideal candidate will provide high-level support to our Chief Legal Officer and other members of the team. This position will be based in either the firm’s Washington, D.C. or New York office on an in-person hybrid basis.

Responsibilities

  • Support corporate governance activities, including maintaining corporate records and minute books, managing subsidiaries, preparing for board meetings, drafting resolutions and consents and maintaining compliance-related documents.
  • Maintain qualifications, registered agent relationships, and annual report filings for domestic and foreign entities, and updated organizational charts using corporate services provider software.
  • Assist with project management and tracking, deadline management and administrative processes, including annual policy review.
  • Support stock plan administration, equity issuances, and repurchases, including preparation and submission of securities filings and required disclosures.
  • Support counsel with corporate transactions, including acquisitions and restructuring.
  • Track litigation matters and manage subpoena compliance, including coordinating with outside counsel as needed.
  • Assist with the preparation and filing of FINRA disclosures and Lobbying Disclosure Act (LDA) and Foreign Agents Registration Act (FARA) registrations and reports.
  • Assist in the management and maintenance of contract databases, including reviewing and summarizing contractual obligations.
  • Develop strong working relationships with internal teams, including finance, investor relations, business operations and corporate development, to jointly manage projects, timelines, and priorities.
  • Coordinate communication among internal teams, external parties, and legal counsel.

Attributes

  • A four-year degree from an accredited college or university is required. A graduate degree, paralegal certificate or notary license a plus but not required.
  • A minimum of 8 years of experience at an Am Law 100 or Am Law 200 law firm and/or a Fortune 1000 corporate legal department, with extensive experience in general corporate support, is required. Experience with a global firm is a plus.
  • High level of professionalism and ethical standards, with a demonstrated understanding of discretion and handling confidential matters.
  • Collaborative team member with excellent written and oral communication skills.
  • Excellent time management skills with the ability to manage multiple tasks efficiently and work consistently to established deadlines.
  • Excellent analytical and problem-solving skills, with ability to analyze legal requirements and apply them to business needs.
  • Strong interpersonal skills to liaise effectively with diverse stakeholders.
  • Excellent organizational skills with attention to detail and accuracy.
  • Ability to exercise good judgment by making sound and practical decisions; ability to assume responsibility for decisions and act decisively under deadlines.
  • Strong understanding of corporate law principles and legal research tools and methodologies.
  • Demonstrated ability to use artificial intelligence (AI) to streamline processes.
