About the role
We are seeking an experienced attorney to join our legal team as Senior Counsel, Product & Commercial. This role will primarily work closely with product, engineering, business development, and marketing teams to develop, launch, and scale blockchain-enabled financial products.
The Senior Counsel, Product & Commercial will play a critical role in helping Ondo bring innovative tokenized financial products to market and developing Ondo’s business. This individual will provide strategic legal guidance throughout the product lifecycle, helping teams navigate complex legal and regulatory considerations while enabling rapid innovation and execution. In addition to product counseling, the role will support key commercial and strategic transactions that drive the growth of the business.
The ideal candidate has significant experience advising on product development and commercial transactions, a strong understanding of the regulatory considerations applicable to digital assets and financial products, and the ability to balance legal risk with practical business objectives in a fast-moving environment. Experience supporting corporate transactions, governance matters, and strategic financings is a plus.
Responsibilities
- Serve as legal advisor to product and engineering teams on the development, launch, and operation of blockchain-enabled financial products
- Provide practical legal guidance throughout the product lifecycle, from ideation and design through launch and ongoing operations
- Partner closely with product, engineering, compliance, business development, and marketing teams to identify legal and regulatory considerations and develop scalable solutions
- Advise on the structure, launch, and operation of tokenized products, protocols, and related services
- Assess legal and regulatory implications of new product features, initiatives, and strategic business opportunities
- Draft, review, negotiate, and manage a wide range of commercial agreements, including partnership, technology, vendor, licensing, service, and strategic collaboration agreements
- Support strategic partnerships and commercial initiatives by assessing legal and regulatory risks and developing pragmatic solutions
- Provide guidance and advice on marketing, promotional, and public communications
- Support Ondo’s AGC Product, AGC Commercial and other senior legal personnel
- Monitor developments in laws, regulations, and enforcement activity relevant to digital assets, tokenized assets, securities, and financial services
- Collaborate with compliance and business teams to ensure adherence to applicable legal and regulatory requirements
- Develop legal frameworks, templates, playbooks, and processes that enable efficient product development and business scaling
- Prepare and deliver trainings on legal and compliance issues
- Support corporate transactions, governance, financing, and other strategic initiatives as needed
- Coordinate with external legal counsel where appropriate
Requirements
- JD degree from an accredited U.S. law school
- 5-8+ years of legal experience at a major law firm and/or a high-growth blockchain, fintech, or financial services company
- Strong knowledge of U.S. securities laws and capital market transactions preferred, including experience on registered and exempt offerings, private placements, resale and transfer restrictions, disclosure requirements, exchange listing rules, broker-dealer and investment adviser considerations
- Significant experience counseling product teams and advising on the development, launch, and operation of financial, fintech, or blockchain-based products, with strong commercial transaction experience is preferred but not required
- Strong knowledge of commercial transactions as well as securities, anti-money laundering, tax, and other financial laws and regulations
- Deep understanding of the blockchain industry; knowledge of tokenization and real-world assets is a plus
- Excellent analytical, research, drafting, and negotiation skills
- Strong communication and interpersonal skills, with the ability to partner effectively across business, technical, and compliance teams
- Detail-oriented with a high level of accuracy and attention to detail
- Ability to manage multiple projects and deadlines simultaneously
- Ability to work independently and as part of a team
- Experience with corporate transactions, governance matters, financings, or M&A is a plus
