This position will be responsible for providing legal services in connection with mergers, acquisitions, divestitures, joint ventures and other major corporate transactions, including due diligence, contract drafting and negotiation, transaction closing and integration activities, under the supervision of the Associate General Counsel, Transactions & Corporate.

What will you be doing?

  • Work closely with the Strategy and Corporate Development team to advise S+N businesses on M&A transactions and manage M&A transaction processes.

  • Perform or oversee due diligence investigations and reviews of businesses being considered for transactions in order to obtain an understanding of relevant operations and risks.

  • Manage and supervise outside counsel as necessary, ensuring clarity of instruction and efficiency on cost management.

  • Participate in implementation of Legal team strategy, administration and improvement initiatives as appropriate.

  • Act as liaison to Company Secretariat and other work as assigned by Associate General Counsel, Transactions & Corporate

What will you need to be successful?

  • LLB/Bachelor degree from a well-respected institution required as a minimum.

  • Admitted to practice in New York and/or with American Bar Association Membership

  • Post qualification experience: the role would suit someone with more than 5 year’s post-qualification experience at a top tier US M&A practice

  • In house experience would be useful but is not a requirement.

  • Experience in healthcare/pharma/medical devices would be useful.

  • Fluent in written and spoken English

  • Excellent analytical, communication and interpersonal skills, strong ability to communicate complex issues in concise terms

  • Able to work autonomously within the role and operate at a senior professional level advising the leadership team and management teams within the business

  • A keen interest in and ability to understand the business, its strategies, its people and its organisational structures

  • Ability to work collaboratively with others, both within and outside of Legal team.

  • Strong time management and prioritisation skills, coupled with an ability to manage both internal and external stakeholders at all levels of the organisation

  • Demonstrated ability to work across cultures and time zones and to exercise strong business and legal judgement

  • The anticipated base compensation range for this position is $180,331 - $243,993 USD annually. The actual base pay offered to the successful candidate will be based on multiple factors, including but not limited to job-related knowledge/skills, experience, and geographic location. Compensation decisions are dependent upon the facts and circumstances of each position and candidate. In addition to base pay, we offer competitive bonus and benefits, including medical, dental, and vision coverage, 401(k), tuition reimbursement, medical leave programs, parental leave, generous PTO, paid company holidays, 8 hours of volunteer time annually, and a variety of wellness offerings such as EAP.
