The Corporate Counsel role is a fantastic opportunity for an attorney with 3 - 6 years of experience to join a dynamic, high-energy company in the energy industry. The successful candidate will report to and partner directly with the EVP-General Counsel/Chief Compliance Officer in a variety of areas, including corporate securities matters, mergers and acquisitions, employment matters, corporate governance, contract negotiation, and general corporate work.

This is a high‑visibility position that will work closely with senior leadership and interact regularly across corporate functions such as Finance, Corporate Development, Human Resources, Treasury, SEC Reporting, Internal Audit, Investor Relations, and Real Estate. The ideal candidate brings top law firm training, with a preference for candidates who are capable of handling matters independently in a fast-paced environment.

Job Duties/Responsibilities

  • Serve as primary legal counsel for securities matters, including preparation and review of SEC filings and related disclosures
  • Support corporate governance, including compliance with SEC, NYSE, and corporate‑secretarial requirements
  • Provide day‑to‑day legal guidance to internal partners across multiple functional areas
  • Assist in overseeing company‑wide compliance programs and internal controls
  • Manage outside counsel
  • Assess legal risks and develop practical, business‑focused recommendations
  • Maintain strong, collaborative working relationships across the organization, including senior management
  • Advise on a wide range of legal issues, including:
    • Corporate law and corporate development initiatives
    • General compliance matters
    • Employment and HR‑related issues
    • Mergers & acquisitions and strategic transactions
    • Bank finance, real estate, intellectual property, and commercial contract negotiation

Skills/Knowledge

  • Strong reasoning, analytical, drafting, and negotiation skills
  • Deep knowledge of corporate law, securities law, and mergers & acquisitions
  • Ability to manage complex projects and progress matters independently
  • Exceptional written and verbal communication skills
  • High integrity, strong work ethic, organization, and efficiency
  • Ability to thrive in a fast‑paced, dynamic environment
  • Strong business judgment and customer‑focused mindset
  • Ability to effectively manage outside counsel and interact with stakeholders at all levels

Education

  • Degree from an ABA‑accredited law school
  • Licensed to practice law in the relevant jurisdiction

Experience

  • 3–6 years of legal experience, including training at a large, nationally recognized law firm
  • Excellent academic credentials and a stable work history
  • Strong transactional background
