Job Summary & Purpose:

GDT is looking for a business-minded commercial attorney to join our growing legal team and play a key role in scaling our enterprise technology business. This is a highly visible, hands-on role partnering closely with Sales and cross-functional leaders to negotiate complex commercial agreements, solve nuanced legal and business issues, and help shape how legal supports the company’s next stage of growth.

The ideal candidate thrives in fast-moving environments, values practical solutions over academic analysis, and is excited by the opportunity to own and influence core commercial workflows at a smaller, high-impact company.

Key Responsibilities include, but are not limited to:

  • Lead the drafting, review, and negotiation of complex enterprise technology agreements for GDT’s sales organization, including customer-facing resale and subscription agreements for hardware, SaaS and cloud solutions, AI-enabled tools, professional services, managed services, data processing agreements, and security addenda.
  • Serve as a primary legal partner to the Sales organization, providing pragmatic, business-focused guidance and helping drive deals from negotiation through execution.
  • Support channel and partner relationships, including reseller, distributor, and strategic technology alliance agreements.
  • Act as a trusted advisor to senior business leaders on commercial, licensing, data privacy, security, and risk-management issues.
  • Identify and assess legal and business risk, and develop clear, workable solutions aligned with business objectives.
  • Collaborate closely with cross-functional partners including Deal Desk, Partner Alliances, Sales Operations, Security, Finance, Procurement, and Risk Management.
  • Contribute broadly to legal team initiatives and process improvements to streamline negotiations and support a high-volume, fast-paced deal environment as the company grows.

Experience/Education

  • JD and active license to practice law in at least one U.S. jurisdiction.
  • 5+ years of relevant commercial legal experience supporting a sales organization and negotiating complex enterprise technology agreements.
  • Strong experience with SaaS, cloud computing, software licensing, and technology-focused commercial contracts; experience in cybersecurity or regulated technology environments is a plus.
  • Solid understanding of intellectual property, data privacy and protection, data security, and related regulatory frameworks.
  • Excellent legal and business judgment, with the ability to navigate ambiguity and balance risk with commercial objectives.
  • Clear, concise communicator with strong drafting and negotiation skills and the ability to translate complex issues into practical advice.
  • Comfortable managing multiple priorities and advancing concurrent deals in a fast-paced environment.
  • Collaborative, ownership-driven mindset with a willingness to jump in where needed and help build scalable legal processes.
  • While this role is primarily focused on commercial and technology transactions, experience with litigation or employment law matters is a plus.
  • Sense of humor and appreciation for working closely with a small, motivated team.
