The Job
We’re seeking an experienced, business-minded attorney for our in-house counsel. In this role, you’ll handle a broad spectrum of legal matters across the organization, including commercial transactions, business development, corporate law, insurance, and stock plan administration. This is a unique opportunity to gain exposure to diverse legal challenges while contributing to strategic initiatives as we scale.
Reporting to the CEO and as a key advisor to the executive team, you’ll contribute to strategic decision-making and ensure legal alignment with business objectives, helping Omnidian scale effectively and sustainably.

What You'll Do

- Handle a broad range of commercial and transactional matters, serving as an escalation point for issue resolution and improving contract templates and playbooks.
- Work cross-functionally to support Omnidian’s initiatives on a wide variety of commercial transactions related to the business operations.
- Provide legal and strategic guidance to assess and mitigate legal risk by building a deep understanding of the business and collaborate with internal clients to support their goals.
- Review, draft, and negotiate a wide range of commercial and transactional contracts, including customer contracts, business development arrangements, and vendor agreements such as master service agreements, vendor service agreements and other purchase agreements.
- Support compliance, data privacy, and intellectual property strategy as the company scales and expands into new markets.

- You are eager to develop expertise in new or unfamiliar areas of law
Experience You’ll Need
- J.D. degree with solid academic credentials and a state bar membership
- 10+ years of experience in a top-tier law firm and/or an in-house legal dept
- Proven experience in handling complex commercial transactions in fast-growing industries.
Experience That's a Plus
- Experience with venture-backed corporate transactions and contract negotiations
- Familiarity with legal issues specific to the renewable energy or technology sectors.
- Background in compliance, data privacy, or intellectual property law.
- Proficiency with equity compensation and stock plan administration.
- Experience navigating an IPO or acquisition
