Our small, but mighty, Legal team is looking for an experienced, smart, and driven Corporate Paralegal aligned with our mission. This position will offer significant responsibility and a high level of exposure across the business. You will be encouraged to build your profile internally by working collaboratively across departments and regions and reducing the company’s risk profile.  Expect lots of variety, a fast-moving environment, and plenty of opportunities to learn and grow. You’ll wear multiple hats and act as a true force multiplier for the team.

This role may be based anywhere in the continental United States.

Essential Functions and Duties:

Global Entity Management

  • Lead the global entity management function, including the full lifecycle of domestic and international legal entities, including formations, qualifications, registrations, amendments, mergers, conversions, dissolutions, and withdrawals.

  • Manage the company’s large and growing portfolio of U.S. and international legal entities, ensuring all jurisdictions remain in good standing through timely annual reports, foreign qualifications, business license renewals, and other statutory obligations.

  • Maintain data on the company’s legal entities and manage filings, licenses, tax registrations, and other entity compliance obligations.

  • Play a leading role in forming new entities, including reviewing formation documents, filing for initial registrations and licenses, and setting up bank accounts and other local service providers.

  • Maintain and update the company’s organizational chart.

Corporate Governance Support

  • Maintain accurate, centralized entity data (officers, directors, ownership, registrations, registered agents, addresses, organizational charts) and oversee ongoing data quality, documentation accuracy, and audit readiness.

  • Communicate, by email and telephone, with internal and external stakeholders, service providers, registered agents, and regulatory agencies to ensure timely compliance.

  • Prepare, circulate, and maintain board and shareholder resolutions, written consents, minutes, and other governance documents for domestic and foreign subsidiaries.

  • Support the coordination of board meetings, annual general meetings, and other corporate proceedings across multiple time zones.

  • Manage powers of attorney, authorized signatory lists, and corporate requirements globally.

  • Handle all notarization, apostillisation, and legalization requirements by sourcing and using third party providers.

Cross Functional Support

  • Partner with tax, treasury, and finance teams on entity structuring, intercompany transactions, and transfer pricing documentation needs.

  • Coordinate with outside counsel and local agents in foreign jurisdictions to ensure compliance with local corporate law and regulatory requirements.

  • Support M&A, joint venture, and corporate restructuring transactions by managing entity-level due diligence, integration activities, and post-closing obligations.

  • Liaise with business units to address entity-related inquiries and provide guidance on governance procedures.

  • Support the company’s professional licensing efforts.

Process Improvement and Technology

  • Identify opportunities to streamline entity management workflows using technology solutions.

  • Develop and maintain standard operating procedures, templates, and best-practice guides for entity management processes.

  • Generate periodic reports on entity portfolio status, compliance health, and upcoming deadlines for leadership review.

General

  • Provide other corporate paralegal tasks, as assigned.

  • Help build the foundation of a best-in-class legal and compliance function, with an initial focus on our entity management and contracting functions.

  • Support Legal team members and other company employees on other tasks, as assigned.

  • Serve as the primary point of contact for registered agents, regulatory agencies, outside counsel, and internal stakeholders across Legal, Tax, Finance, and Operations.

Required Qualifications:

  • 3+ years in entity management, compliance, and/or legal operations fields.

  • BS/BA from an accredited university preferred; equivalent work experience will be considered.

  • Proficiency with Microsoft Office Suite.

Desirable Qualifications:

  • Experience in the project management and advisory, construction, or energy industries.

  • Experience managing entities across multiple international jurisdictions.

  • Working knowledge of corporate governance principles, statutory compliance requirements, and secretary of state filing procedures.

  • Proficiency Cogency or other entity management software.

  • Experience with Sam.gov registrations, renewals, and filings.

  • Experience in professional licensing.

Compensation Range: $80,000 to $130,000 annually, dependent on experience and profile.
