We Are Looking For

The Manager, Commercial Services is responsible for supporting and reviewing customer- and supplier-facing contracts and supporting related commercial, regulatory, and trade-compliance activities for FDH Electronics. This role reviews, negotiates, administers, and monitors commercial and government-related agreements, including purchase orders, terms and conditions, pricing agreements, non-disclosure agreements, and other legally binding documents.


The Manager partners closely with Legal, Sales, Finance, Supply Chain and other stakeholders to identify contractual risks, coordinate approvals, maintain compliance, and support timely business execution. The role also manages customer compliance questionnaires and certifications, supports export-control classifications and customs documentation, and owns the administration and effective use of the Company’s contract management system.

 

What You’ll Do 

As a Manager, Commercial Services, you’ll be responsible for:  

Contract Review and Negotiation

  • Manage the full lifecycle of customer and supplier contracts, including review, negotiation, execution, administration, amendment, renewal, and closeout. 
  • Review and interpret purchase orders, terms and conditions, contracts, statements of work, non-disclosure agreements, pricing agreements, long-term agreements, bonding documents, and other customer- or supplier-facing documents. 
  • Identify contractual, financial, operational, and compliance risks and recommend appropriate revisions or risk-mitigation measures. 
  • Coordinate internal reviews and approvals in accordance with the Company’s delegation-of-authority requirements, escalating legal matters to the General Counsel or designated legal counsel as appropriate. 
  • Support contract negotiations and issue resolution in partnership with Legal and relevant business stakeholders. 
  • Monitor contractual obligations, deliverables, milestones, modifications, renewals, and other key requirements.


Commercial and Pricing Agreements

  • Coordinate the review and administration of customer pricing agreements and long-term agreements in partnership with Regional Sales Managers, Product Managers, Finance, and designated approval authorities. 
  • Confirm that pricing agreements accurately reflect approved commercial terms, responsibilities, duration, escalation provisions, and other material requirements. 
  • Maintain appropriate records of approved pricing terms and ensure executed agreements are accessible to relevant stakeholders. 
  • Provide contractual input and risk analysis for requests for proposals, requests for information, bids, and other customer solicitations. 


Lease Review and Administration

  • Coordinate the review, negotiation, execution, and administration of building, warehouse, office, equipment, and other leases in partnership with Legal, Finance, Operations, and other stakeholders.
  • Review and track key lease provisions, including term, rent, escalation clauses, renewal and termination rights, notice requirements, maintenance obligations, insurance requirements, operating expenses, and restoration obligations.
  • Maintain centralized lease records and monitor critical dates, payment obligations, renewal windows, notice periods, amendments, and expirations.
  • Coordinate lease renewals, amendments, assignments, terminations, and other lease-related actions, ensuring timely internal review and approval.
  • Support lease-related due diligence for new locations, facility expansions or closures, acquisitions, divestitures, and other real-estate or operational transactions.
  • Escalate material legal, financial, environmental, or operational risks to the appropriate stakeholders and legal counsel.

 

Compliance and Customer Documentation

  • Complete and coordinate customer and supplier questionnaires, surveys, certifications, representations, and other documentation concerning the Company’s operations, policies, capabilities, and compliance status. 
  • Partner with subject-matter experts across Quality, Finance, Supply Chain, Legal, HR, IT and other functions to ensure responses are accurate, complete, and appropriately approved. 
  • Support compliance with applicable contractual and government requirements, including FAR, DFARS, customer-specific requirements, and other relevant regulations. 
  • Maintain appropriate documentation and supporting evidence to ensure audit readiness and consistency in external representations. 
  • Track recurring certifications, reporting obligations, and customer compliance requirements to ensure timely completion. 

 

Export and Customs Support

  • Coordinate export-control classifications and related documentation in partnership with internal subject-matter experts and external advisors, as applicable. 
  • Support the preparation, review, and maintenance of customs and international-trade documentation. 
  • Help ensure that product, customer, supplier, and transaction documentation complies with applicable export-control, import, and customs requirements. 
  • Escalate potential trade-compliance concerns or restricted-party issues to Legal or the appropriate compliance authority. 


Contract-Management Systems and Processes

  • Manage and operate the Company’s contract lifecycle management system, including document intake, workflow administration, approval routing, execution, storage, reporting, and user support. 
  • Maintain complete, accurate, and accessible contract files, records, databases, templates, and approval documentation. 
  • Establish and monitor contract-management procedures, controls, templates, and service-level expectations. 
  • Develop reporting and dashboards covering contract status, turnaround time, renewals, obligations, risks, and other key metrics. 
  • Train and support users on contract processes, system requirements, and documentation standards. 
  • Identify and implement process improvements that increase efficiency, strengthen controls, reduce contractual risk, and support scalable business growth. 
  • Understand and responsibly leverage Company-approved AI tools to improve contract review, administration, compliance, reporting, and workflow efficiency, while ensuring appropriate human oversight and adherence to confidentiality, data privacy, information security, and legal requirements.

 

Business Partnership

  • Serve as a central point of coordination for contract and related compliance matters across FDH Electronics. 
  • Communicate contract status, obligations, risks, and recommendations clearly to stakeholders at all levels of the organization. 
  • Build effective working relationships with customers, suppliers, internal business partners, and legal counsel. 
  • Balance appropriate risk management with the need to facilitate timely and practical business solutions.


What You Bring

Education and Experience:

  • Bachelor’s degree in business, law, paralegal studies, supply chain, international trade, or a related field required.
  • Typically five or more years of experience in contract management, commercial contracting, paralegal work, trade compliance, or a related role.
  • Demonstrated experience reviewing and administering customer and supplier agreements, purchase orders, terms and conditions, NDAs, and other commercial documents.
  • Working knowledge of government contracting requirements, including FAR and DFARS, strongly preferred.
  • Experience supporting export controls, product classifications, customs documentation, or international trade compliance preferred.
  • Experience administering a contract lifecycle management system strongly preferred.
  • Aerospace and defense, electronics distribution, manufacturing, or another highly regulated industry experience preferred.

  • Strong contract-review and risk-assessment capabilities, with the ability to interpret complex terms and translate them into practical business guidance.
  • Sound judgment regarding when to resolve matters independently and when to escalate issues to Legal or senior leadership.
  • Strong organizational and project-management skills, with the ability to manage multiple contracts, deadlines, and stakeholders simultaneously.
  • Excellent written and verbal communication skills across legal, commercial, operational, and executive audiences.
  • High attention to detail and commitment to accurate, complete, and audit-ready documentation.
  • Strong cross-functional relationship-building and negotiation skills, with a practical, solutions-oriented approach.
  • Demonstrated integrity and discretion when handling confidential, sensitive, or legally significant information.

 

Special Requirements: 

  • U.S. Citizen, U.S. Permanent Resident (Green Card holder) orasylee/refugee status as defined by 8 U.S.C. 1324b(a)(3) required. 
  • ITAR Requirement 
  • 120.15. Some positions will require current U.S. Citizenship due to contract requirements.
