Legal Counsel – Commercial

NXP is building an Unstoppable company, defined by speed, ownership, and innovation.  Legal plays a critical role in enabling that ambition across the business.

We are looking for Counsel who wants to operate close to the business, help teams move faster with confidence, provide strategic counsel to inform decision-making and support complex global decisions with clear judgment and practical legal leadership. This role resides in the Commercial Legal Support team and focuses on customer-facing work, including hardware sales agreements and software licensing, in a highly dynamic international environment.

This is a role for lawyers who naturally think in outcomes, trade-offs, and enterprise impact—not just in issues and clauses.

The role in context

NXP’s legal team is expected to support and accelerate the company’s Unstoppable ambition. That means helping the business move with momentum, making risk transparent and actionable, and taking ownership for end-to-end outcomes rather than narrowing advice to isolated legal steps.

You will work directly with senior business, sales, and technical leaders and are trusted to independently shape complex commercial negotiations, advise under time pressure, and help decisions move forward in a global setting.

What you will do

  • Independently lead and negotiate complex commercial agreements with customers and suppliers.
  • Advise on matters related to software licensing, product sales, claims, and purchasing.
  • Help shape software licensing strategy, including new licensing models and evolving customer use cases.
  • Advise senior stakeholders on high-value, time-critical transactions, balancing speed with sound judgment.
  • Collaborate closely with Legal colleagues and business teams across regions, functions, and cultures.

You take end-to-end responsibility for matters you support, from first discussion to closure. You surface risks early, frame clear options, and are comfortable acting with authority rather than waiting for perfect information.

You bring curiosity to complex commercial and licensing questions and help design solutions that work on a global scale. You are open to new structures, new models, and new ways of enabling the business without losing sight of what truly needs protection.

Who typically thrives in this role

This role will fit lawyers who enjoy being a true business partner, are comfortable making judgment calls in global, ambiguous, fast-moving situations, balance legal risk with commercial reality, and are energized by enterprise impact.

Qualifications

  • Law degree from an accredited university; admitted to practice in at least one jurisdiction.
  • 5–15 years of relevant experience, ideally in a multinational in-house or law firm environment.
  • Strong experience negotiating and drafting complex commercial agreements.
  • Solid background in software licensing transactions.
  • Experience working across multiple jurisdictions; semiconductor industry experience is a plus.
  • Fluent in written and spoken English.

Work model

Hybrid work model: minimum 3 days per week in the Austin, Texas office; up to 2 days remote. Occasional travel required.
