Senior Legal Counsel: Supply Chain

The Senior Legal Counsel, Supply Chain will serve as a strategic legal partner to Fluence's global procurement, supply chain, manufacturing, engineering, quality, and operations teams. This role will be responsible for structuring, drafting, negotiating, and managing a wide variety of complex commercial transactions involving the procurement, manufacture, and delivery of critical components, systems, and services supporting Fluence's energy storage business.

The successful candidate will advise on domestic and international supply chain matters, including supplier agreements, manufacturing arrangements, strategic sourcing initiatives, operational risk management, compliance requirements, intellectual property protection, logistics, and supply continuity.

This position requires a pragmatic, collaborative attorney capable of balancing commercial objectives with effective risk management in a fast-paced, highly technical, and global business environment.

• Draft, negotiate, and manage a broad range of commercial agreements, including:

  • Master Supply Agreements

  • Product Addenda

  • Long-Term Supply Agreements

  • Contract Manufacturing Agreements

  • Design and Development Agreements

  • Tooling Agreements

  • Licensing Agreements

  • Statements of Work

  • NDAs and Confidentiality Agreements

  • Logistics and Warehousing Agreements

  • Professional Services Agreements

• Lead negotiations involving pricing structures, volume commitments, forecasting obligations, warranties, service levels, intellectual property rights, indemnities, limitation of liability provisions, and dispute resolution mechanisms.

• Provide practical legal support for global sourcing, procurement, manufacturing, and supplier management activities.

• Advise on supply continuity strategies, capacity reservations, allocation risks, transition planning, inventory commitments, and supplier performance remedies.

• Support contract manufacturing and strategic supplier relationships across North America, Europe, and Asia.

• Assist internal stakeholders in resolving supplier disputes, quality issues, warranty claims, delivery performance concerns, and commercial escalations.

• Advise on evolving domestic manufacturing and supply chain regulatory requirements, including those associated with:

  • Domestic content programs

  • U.S. federal energy incentives

  • Supply chain transparency requirements

  • Trade and import/export compliance

  • Sanctions and restricted-party requirements

  • Anti-corruption compliance

  • Responsible sourcing initiatives

• Support cross-functional efforts related to domestic content qualifications, supplier certifications, and government incentive programs.

• Advise on intellectual property issues arising within supply and manufacturing transactions.

• Structure and negotiate provisions relating to ownership, licensing, development rights, process know-how, manufacturing technology, tooling, and confidential information.

• Partner with Fluence's intellectual property team to protect strategic technologies and manufacturing innovations.

• Collaborate closely with Procurement, Supply Chain, Engineering, Quality, Operations, Manufacturing, Finance, and Compliance teams.

• Provide practical, solution-oriented legal advice that enables business objectives while appropriately managing risk.

• Develop contracting templates, negotiation playbooks, risk matrices, training materials, and legal processes that improve operational efficiency.

• Juris Doctor (J.D.) from an accredited law school.

• Active membership in at least one U.S. state bar.

• 7+ years of legal experience, including substantial experience supporting commercial transactions.

• Significant experience drafting and negotiating complex supply chain, procurement, manufacturing, or commercial agreements.

• Strong understanding of commercial contracting principles, including:

  • Warranty structures

  • Indemnification

  • Risk allocation

  • Limitation of liability

  • Intellectual property

  • Supplier performance management

• Excellent communication, negotiation, and stakeholder management skills.

• Ability to work independently while managing multiple competing priorities in a dynamic environment.

• In-house legal experience supporting manufacturing, procurement, supply chain, industrial, energy, technology, or infrastructure businesses.

• Experience with global supply chains and international commercial transactions.

• Familiarity with battery systems, electronics, power systems, renewable energy, energy storage, advanced manufacturing, or related industries.

• Experience advising on domestic content, local content, trade compliance, or government incentive programs.

• Strong business acumen and ability to provide practical, risk-balanced legal advice.
