What role we’re hiring for:   

We are seeking an experienced Senior Commercial Counsel to join our legal team at E6 in Texas! This will be a hybrid position within our Austin headquarters.

As Senior Commercial Counsel, you will play a crucial role in providing legal guidance and support in various commercial matters, with a specific focus on reviewing Software-as-a-Service (SaaS) agreements and advising on privacy issues. This role requires a deep understanding of technology and commercial transactions, along with the ability to analyze complex legal issues and provide practical solutions to support the growth and success of E6. 

While we expect the bulk of the work to be commercial work, the Senior Commercial Counsel may assist with other duties as required by the General Counsel or other members of management, including providing support on general corporate matters, HR matters, compliance matters, and other legal projects as needed.  

Responsibilities: 

  • Review, draft, and negotiate a wide range of commercial agreements, with a primary focus on SaaS agreements, including master service agreements, software licenses, data processing agreements, and service level agreements. 
  • Conduct thorough legal analysis and risk assessments of commercial contracts (including client and vendor agreements), identifying potential issues and providing practical solutions to mitigate risks. 
  • Collaborate with cross-functional teams, including compliance, sales, marketing, product, and engineering, to ensure compliance with relevant legal and regulatory requirements. 
  • Work closely with our compliance team to advise internal stakeholders on privacy and data protection matters, including compliance with relevant laws, regulations, and industry standards (such as GDPR), and assist in the development and implementation of privacy policies and practices. 
  • Stay up-to-date on emerging legal and regulatory developments related to SaaS, data protection, and privacy, and proactively provide guidance and training to internal teams on relevant changes. 
  • Assist in the resolution of disputes and contract-related issues. 
  • Support the continuous improvement of contract templates, legal processes, and standard operating procedures to streamline the contract lifecycle and enhance efficiency. 
  • Provide legal support and guidance on other general commercial and intellectual property matters as required. 
  • Provide legal support and guidance on corporate and other matters as assigned by the General Counsel or other members of management.  

Qualifications: 

  • J.D. and current license to practice in at least one US jurisdiction.   
  • 4+ years of relevant legal experience (including experience at a well-regarded law firm and/or in-house experience at a start-up technology company strongly preferred).  
  • Deep understanding of SaaS business models and familiarity with typical SaaS contractual provisions, including data protection, intellectual property, indemnification, and limitation of liability. 
  • Experience researching and advising clients (internal or external) on privacy and data protection matters. 
  • A team player with the ability to proactively identify problems, drive projects, and identify pragmatic and creative legal and business solutions. 
  • Excellent negotiation, written and verbal communication, and interpersonal skills, with the ability to effectively collaborate with cross-functional teams, build strong relationships with internal and external stakeholders, and to convey complex legal concepts in a clear and concise manner.  
  • Strong organizational and project management skills, with the ability to manage multiple priorities with high attention to detail and commitment to delivering high-quality work. 
  • Ability to work independently and exercise sound judgment while balancing legal and business considerations.  
  • Quick and flexible learner, intellectually curious, flexibility and adaptability in a dynamic legal environment, with a willingness to take on tasks as required, including tasks that typically fall outside of a commercial counsel’s day-to-day duties or outside of the legal department. 
  • Experience or familiarity with corporate work (board minutes, corporate governance, fundraising, and the like) not required but considered a plus.
