About this Role:

We are looking for an experienced Senior Commercial Paralegal aligned with our mission. The successful candidate will, among other things, independently draft, review, redline, and negotiate agreements within established guidelines and escalate issues for attorney review, coordinate the company's internal responses to subpoenas and records requests, administer legal holds at counsel's direction, and coordinate the preservation and collection of information for outside counsel. Experience supporting employment-based immigration matters is a plus.

Key Responsibilities:

Commercial Contracting

  • Support post-closing legal integration efforts, including contract migration, training, post-close notices, consents or assignments, organizing and migrating records into the CLM and into our file structure, collecting and revising templates, and coordinating with business teams to track integration tasks, resolve documentation gaps, and escalate as needed
  • Independently draft, review, redline, and negotiate routine and moderately complex commercial agreements, including client and professional services agreements, subconsultant and subcontractor agreements, vendor agreements, NDAs, teaming agreements, statements of work, amendments, and change orders
  • Apply and maintain company contract templates, approved positions, and escalation guidelines within the CLM system; identify deviations and contractual risks involving scope, payment, indemnity, insurance, liability, intellectual property, confidentiality, and termination
  • Summarize contract terms, explain standard terms and contracting procedures, answer routine contract questions, and coordinate with sales, procurement, finance, and other teams to drive revenue and manage risk

Subpoenas and Claims Support

  • Coordinate the internal response to subpoenas, third-party records requests, and other legal process, including intake, deadline tracking, identification of relevant stakeholders, and gathering responsive records
  • Work with in-house and outside counsel on claim, litigation, and discovery response scope and requirements; flag confidentiality, privilege, and other issues for counsel

Legal Holds and E-Discovery

  • Administer legal holds at counsel's direction, including distributing notices, tracking acknowledgments, communicating with custodians, sending reminders, and documenting updates and releases
  • Coordinate with IT, custodians, outside counsel, and vendors to preserve, collect, process, and securely transfer electronically stored information and other relevant records
  • Maintain accurate records of preservation instructions, custodians, collections, and transfers; track outstanding actions and follow through to completion

Additional Legal Support

  • Manage assets for the vehicle fleet and real estate portfolio, including collecting and logging commitments, expirations, authorized users, lease renewals, opt-out deadlines, and insurance requirements
  • Support Legal team members and other company employees on other tasks as assigned
  • If experienced in employment-based immigration, coordinate with HR business partners, immigration counsel, and internal stakeholders to gather documentation, track case status and deadlines, and support employee communications

Qualifications/Requirements:

  • At least 5 years of relevant paralegal or equivalent legal experience, with the depth of responsibility typically gained through 5–8 years of progressively responsible work
  • At least 3 years of hands-on experience drafting, reviewing, redlining, and negotiating commercial agreements, with demonstrated ability to manage routine matters independently under attorney supervision
  • Practical experience coordinating subpoena or records-request responses, administering legal holds, and coordinating preservation and collection of electronically stored information
  • Bachelor's degree, paralegal certificate, or equivalent combination of education and relevant experience
  • Strong business judgment and ability to distinguish routine issues from matters requiring additional facts, attorney review, or escalation
  • Clear, concise writing and strong communication and negotiation skills; ability to explain contract provisions and work effectively with business partners, interdepartmentally, and with outside counsel
  • Demonstrated ability to prioritize competing deadlines, maintain accurate records, protect confidential information, and follow through with limited day-to-day direction
  • Proficiency in Microsoft Word, Excel, and other Microsoft products, including redlining and document comparison, and comfort using contract repositories, electronic signature tools, and document collection or review platforms

Preferred:

  • In-house legal experience, particularly in professional services, AI, engineering, or project management
  • Experience using Ironclad or a comparable CLM platform
  • Experience supporting employment-based immigration matters and coordinating with immigration counsel

Additional Requirements / Skills / Working Hours / Compensation Range

  • Compensation range: $100,000 - $130,000+ annually, dependent on experience and education
  • Comfortable with the use of new technologies and software, including generative and agentic artificial intelligence
